FundShelf / Learn

A considered route to private markets.

An educational illustration of the proposed feeder model.

01 / Understand the structure

Eligible investors would pool commitments in a dedicated feeder vehicle. The feeder subscribes to an underlying private fund, subject to manager acceptance and legal approval.

02 / Review eligibility and terms

Identity, professional investor evidence and offering-specific permissions require independent assessment for every subscribing entity. Self-declaration does not grant approval.

03 / Commitments and capital calls

A commitment is a contractual promise, not an immediate cash investment. Private funds can call portions over time; investors must plan for illiquidity and future obligations.

04 / Reporting over time

Future reporting should distinguish committed, paid-in and unfunded capital, distributions and dated administrator valuations. This demonstration shows no returns.

A pooled commitment, illustrated

Investor A + Investor B + Family Office C → FundShelf feeder → underlying global PE fund. This small fictional group is a cash-flow explanation, not a fully funded feeder or an available offer.

  1. Investor AHKD 100,000 committed

    HKD 25,000 in a 25% call

  2. Investor BHKD 200,000 committed

    HKD 50,000 in a 25% call

  3. Family Office CHKD 700,000 committed

    HKD 175,000 in a 25% call

Total fictional feeder commitments: HKD 1,000,000. A 25% underlying call would require HKD 250,000 from the feeder in this simplified same-currency illustration. Investor allocations sum to that amount. Commitment is a promise; only amounts actually received and invested would be cash funding.

A separate fictional HKD 100,000 non-recallable return-of-capital distribution would flow from the underlying fund to the feeder and then to entities: HKD 10,000, HKD 20,000 and HKD 70,000 at these illustrative proportions. It is not profit or a forecast and does not offset the remaining HKD 750,000 unfunded commitment.

Actual calls, allocations and distributions would follow approved terms, with possible reserves, fees, unequal timing, FX conversion and withholding. Feeder expenses and FX costs can reduce amounts available to investors. No payments, due notices or currency quotes are generated here.
